Cadnet Corporation and Image Machines Announce Merger And Creation of "eQuorum"


ATLANTA, GA & HERNDON, VA - April 16, 1999 - CADNET Corporation, a leader in integrated output solutions for the architecture, engineering and manufacturing markets, and Image Machines Corporation, a leading provider of enterprise imaging and collaboration solutions, today jointly announced that they have merged. The combined company is to be called "eQuorum."

"The merger of our two companies provides us with a solution base that is unique in the industry," says Agnes Lewis, President and CEO of CADNET. "Including and integrating both sets of products will give customers greater control over the management, distribution, and printing of their business documents, including large format technical drawings. We can now offer our customers the ability to distribute documents, especially large format drawings, to anyone, anywhere in the world, and access them using a simple web browser. Users can download documents for local printing. Field technicians can upload changes and comments that reflect the real world to their headquarters. Project cycle times can be dramatically reduced when project members (employees, customers, subcontractors) view, mark up and comment on technical drawings during a single live collaboration session."

eQuorum will be headquartered in Atlanta, Georgia, and will also maintain a sales and development office in Herndon, Virginia. eQuorum's President and CEO will be Agnes Lewis, who has held the comparable position at CADNET since August 1997. Dr. Charles Rieger III, co-founder and President of Image Machines Corporation, will serve as eQuorum's Chief Technology Officer. The management team will consist of officers and managers from both CADNET and Image Machines. There are about 55 full-time employees in Georgia, Virginia and Great Britain.

Atlanta-based CADNET Corporation's plotting solutions (Plot Station®, Plot Manager™ and Plot Easy™) are used by most of the large companies in the architecture, engineering, construction and manufacturing markets to improve, manage and control high volume, large format document output. In addition to software solutions, CADNET offers a full range of professional services including consulting, implementation assistance, and training.

Image Machines Corporation, based in Herndon, Virginia, offers a variety of imaging solutions, including scanning, raster editing, and image management. Its ImageSite® product provides an enterprise solution using Internet technologies. ImageSite is specifically designed with an open architecture for smooth integration with databases, workflow, and document management applications.
